End User License Agreement (EULA) — Docloom

1. License Grant
Subject to your compliance with this End User License Agreement ("EULA") and Docloom's Terms and Conditions, Docloom ("Licensor") grants you ("Licensee" or "you") a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Docloom platform, including its web dashboard, API endpoints, generated documentation interface, and any associated client tooling (collectively, the "Software"), solely for your own internal business or personal purposes, in accordance with your active subscription plan.
This license does not constitute a sale of the Software. Docloom and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein.
2. Scope of Permitted Use
You may:
- Access and use the Software to connect authorized GitHub repositories and generate API documentation.
- Use, publish, distribute, and modify the documentation generated by the Software for your own repositories, in any format and for any lawful purpose, without restriction, since generated documentation is your content (see Section 9 of the Terms and Conditions).
- Access the Software through the number of authorized users and usage volume permitted under your specific subscription plan.
3. Restrictions
You may not:
- Copy, modify, adapt, translate, or create derivative works of the Software itself (excluding the generated documentation output, which is yours to use freely).
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or architecture of the Software, except to the extent such restriction is expressly prohibited by applicable law.
- Rent, lease, lend, sell, sublicense, assign, or otherwise transfer your rights under this EULA to any third party without Docloom's prior written consent.
- Use the Software to build a competing product or service, or to benchmark the Software for the purpose of building a competing product.
- Remove, obscure, or alter any proprietary notices (including copyright and trademark notices) on or within the Software.
- Use the Software in a manner that violates any applicable law, regulation, or third-party right, including intellectual property, privacy, or export control laws.
- Circumvent, disable, or otherwise interfere with any security-related or usage-limiting features of the Software, including authentication mechanisms, rate limits, or plan-based quotas.
4. Ownership
The Software, including all associated intellectual property rights (source code, object code, user interface designs, documentation templates, trademarks, and trade names), is and shall remain the exclusive property of Docloom. This EULA does not grant you any rights to Docloom's trademarks, service marks, or trade names.
For clarity: this ownership provision applies only to the Software itself. It does not extend to (a) your source code, which remains entirely your property, or (b) the natural-language documentation generated from your source code, which is your content to use as you see fit.
5. Third-Party Components
The Software may incorporate or rely upon third-party software, libraries, and services (including but not limited to infrastructure provided by Cloudflare, database services provided by Neon, AI processing provided by Anthropic, and payment processing provided by Dodo Payments). Your use of the Software is subject to any applicable third-party license terms governing those components, to the extent such terms are made available to you.
6. Updates and Modifications
Docloom may, at its discretion, update, modify, or discontinue features of the Software at any time, with or without notice, in order to improve functionality, security, or compliance with applicable law. Continued use of the Software after such updates constitutes your acceptance of the updated Software.
7. Term and Termination
This EULA remains in effect for as long as you maintain an active Docloom account and comply with its terms. This license terminates automatically, without notice, if you breach any provision of this EULA or the Terms and Conditions. Upon termination:
- Your right to access and use the Software ceases immediately.
- You must cease all use of the Software, though you retain full ownership and unrestricted use of any previously generated documentation output.
- Provisions of this EULA that by their nature should survive termination (including Sections 4, 8, 9, and 10) shall survive.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOCLOOM DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DOCLOOM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SOFTWARE, EVEN IF DOCLOOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. DOCLOOM'S AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO DOCLOOM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
This limitation applies to the fullest extent permitted by law and operates alongside, not in place of, the limitation of liability provisions in the Terms and Conditions.
10. Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations in your use of the Software, and represent that you are not located in, or a national or resident of, any country subject to a comprehensive embargo under applicable law, nor identified on any restricted party list maintained by the relevant government authorities.
11. Governing Law
This EULA is governed by the laws specified in the Terms and Conditions (Section 16), without regard to conflict of law principles.
12. Entire Agreement
This EULA, together with the Terms and Conditions and Privacy Policy, constitutes the entire agreement between you and Docloom regarding your license to use the Software, and supersedes any prior agreements or understandings, whether written or oral, relating to the subject matter herein. In the event of any conflict between this EULA and the Terms and Conditions regarding the license to use the Software specifically, this EULA shall govern; for all other matters (billing, acceptable use, liability generally), the Terms and Conditions shall govern.
